Procedure for LLP Registration

Limited Liability Partnership (LLP) Registration.

Documents Required : Every proposed partner must have PAN Card as an Identity proof and one address proof such as Electricity Bill, Telephone Bill in his/her name, Aadhar Card etc. Two passport size photographs of each partner are required. Clear Scanned copies of documents and photos are preferred.

Application of DPIN & Digital Signature : Once all the required documents are received & verified, we proceed for application of DPIN and Digital Signature. In case the partners already have DIN/DPIN then we can directly proceed for next step.

Name Availability Search : A Name Search is conducted for the proposed name of the LLP to make sure that there is no identical or similar LLP/Company already registered in India or for which an application for registration has been submitted.

Name Application & Approval : After approval of all the DPIN, application will be made to the concerned RoC to ascertain the availability of name in eForm by logging into the portal. Once the name is approved, the procedure for Incorporation of LLP can be initiated.

Drafting LLP Agreement : After the Name approval, we proceed for drafting of LLP Agreement. This is done by taking relevant information from the partners like Capital Contribution, Profit Sharing Ratio of the partners, Address of the LLP, Nature of Business in detail, Rights & Duties of Partners, etc. The agreement is drafted as per the provisions of The Limited Liability Partnership Act, 2008.

LLP Agreement : After the approval of Draft agreement from Partners, the final copy of Agreement is required to be signed by all the Partners. Appropriate Stamp Duty is required to be paid. The LLP Agreement should be notarised if the concerned ROC requires so.

Filing of Incorporation documents : Now the Incorporation Forms are filed electronically for making Application for Incorporation is done, to provide information with regard to Limited Liability Partnership Agreement and appointment of Partners/Designated Partners.

Final Process : After processing of the electronic Forms is done, Certificate of Incorporation is issued by the Concerned ROC. We will provide you a file containing all documentation made for LLP formation along with DPIN papers and Digital Signatures.
